1. Introduction

Welcome to NexoPrima Sdn. Bhd. (Company Registration No. 1137946-D) (“NexoPrima”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of our products, services, and platforms, including but not limited to:

• mCare – Advanced Labor Room Information System
• NexoMed Connect – Medical Device Integration Solution
• NexoMed Integra – Healthcare System Integration Platform
• nexoLink – IoT Medical Device Connectivity
• Any associated websites, applications, and services

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2. Definitions

“Services” refers to all products, software, platforms, and solutions provided by NexoPrima, including mCare, NexoMed Connect, NexoMed Integra, and related offerings.
“User” or “you” refers to any individual or entity accessing or using our Services, including healthcare facilities, medical professionals, and authorized personnel.
“Patient Data” refers to any personal health information, medical records, or clinical data processed through our Services.
“Healthcare Facility” refers to hospitals, clinics, and other medical institutions that contract with NexoPrima for the use of our Services.

3. Eligibility and Account Registration

3.1 Eligibility

Our Services are intended for use by licensed healthcare facilities and qualified medical professionals. By using our Services, you represent and warrant that you have the legal authority to enter into these Terms and to use our Services in compliance with applicable laws and regulations.

3.2 Account Security

If you are provided with login credentials or access accounts, you are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify NexoPrima immediately of any unauthorized use of your account.

4. Use of Services

4.1 Permitted Use

You may use our Services solely for lawful purposes and in accordance with these Terms. Our Services are designed to:

• Facilitate medical device data integration and monitoring
• Provide clinical decision support through real-time data analytics
• Enable efficient workflow management in healthcare settings
• Support healthcare professionals in patient care and monitoring

4.2 Prohibited Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Services or related systems
• Reverse engineer, decompile, or disassemble any software provided as part of the Services
• Use the Services in any manner that could damage, disable, or impair the Services
• Share access credentials with unauthorized third parties

5. Clinical Decision Support Disclaimer

IMPORTANT: Our Services, including mCare’s AI-powered fetal heart rate analysis and clinical decision support features, are designed to assist healthcare professionals and are not intended to replace professional medical judgment. All clinical decisions remain the sole responsibility of qualified healthcare providers. The data, alerts, and recommendations provided by our Services should be used as supplementary information only and must be verified by trained medical personnel before any clinical action is taken.

6. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, algorithms, user interfaces, trademarks, and documentation, are owned by NexoPrima or its licensors. Your use of the Services does not grant you any ownership rights in the Services. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

7. Data Processing and Privacy

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect personal and health data. By using our Services, you acknowledge that you have read and understood our Privacy Policy. Healthcare Facilities using our Services are responsible for ensuring appropriate patient consent and compliance with applicable data protection regulations.

8. Service Availability and Support

We strive to ensure high availability of our Services. However, we do not guarantee uninterrupted access and may perform scheduled maintenance with reasonable notice to affected users. Technical support is provided in accordance with your service agreement with NexoPrima.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXOPRIMA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless NexoPrima, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes through appropriate channels. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

12. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia. The parties agree to first attempt to resolve any disputes through good faith negotiations before pursuing formal legal proceedings.
